Terms of Service
These Terms of Service (“Terms”) apply when you access or use Halvo’s websites, applications, and related services (the “Services”). The Services are provided by KCUBED Consulting (Pty) Ltd, trading as Halvo (“Halvo”, “we”, “us”). By creating an account, subscribing to a Service, or using it, you agree to these Terms. If you use Halvo for a business, you confirm that you are authorised to accept these Terms for that business.
1. The service
Halvo provides online business-management tools, which may include client and vehicle records, quotations, invoicing, reporting, and communications features. Available features depend on the product or subscription selected. We may update or improve the Services, but will take reasonable steps to avoid materially reducing a paid feature during its current paid period.
2. Your account and responsibilities
- You must provide accurate account information, keep your login credentials secure, and promptly tell us if you suspect unauthorised access.
- You are responsible for activity carried out through your account and for deciding which people in your business may access it.
- You must use the Services lawfully, respect other people’s rights, and not interfere with or attempt to gain unauthorised access to the Services.
- You are responsible for the accuracy and lawfulness of the information you enter, your customer relationships, and the documents or messages you send using Halvo.
3. Subscriptions, prices, and payment
The selected product, features, price, billing frequency, and any trial or introductory offer will be shown to you before you subscribe or accept a subscription change. Applicable taxes, including VAT where required, will be shown or charged as required by law. Unless the offer says otherwise, recurring subscriptions renew for the next billing period until cancelled.
You authorise us and our payment providers to collect amounts due for your subscription using the payment method you select. Payments may be processed by PayFast or another third-party payment provider. Their own terms and privacy practices also apply. We do not store full payment-card details on Halvo.
For subscription changes, billing periods, and cancellation timing, see our Refund and Cancellation Policy. Any mandatory rights you have under applicable law remain unaffected.
4. Halvo Pay and payments between a business and its customers
Where a Halvo feature enables a business to request payment from its own customer, that business is responsible for the underlying goods or services, its customer-facing terms, and deciding whether to approve a refund or cancellation. The business’s customer should contact that business about a purchase or refund. Halvo provides software tools and is not the seller of the business’s goods or services. Payment processing is also subject to the relevant payment provider’s terms and the business’s merchant agreement.
5. Your information
You retain your rights to information you submit to Halvo. You give us permission to host, process, and use that information as needed to provide, secure, and support the Services. You are responsible for having the rights and permissions needed to submit information about your staff and customers. Our Privacy Policy explains how we handle personal information.
6. Halvo materials
Halvo and its licensors own the Services, including their software, design, and branding. We grant you a limited, non-exclusive, non-transferable right to use the subscribed Services for your business while your account is in good standing. You may not copy, resell, reverse engineer, or misuse the Services except where applicable law permits.
7. Availability and third-party services
We work to keep Halvo available and secure, but do not promise uninterrupted or error-free access. Maintenance, internet or hosting issues, and services outside our control may affect availability. Features that connect to third-party platforms are also subject to those platforms’ availability and terms.
8. Suspension and termination
You may cancel a subscription as described in the Refund and Cancellation Policy. We may suspend or restrict access if reasonably necessary to protect the Services, comply with law, address a security risk, or respond to a material breach of these Terms. Where practical, we will give notice and an opportunity to resolve the issue. Ending access does not remove amounts already due or rights that by their nature continue after termination.
9. Liability
Nothing in these Terms limits a right or remedy that cannot lawfully be limited. To the extent the law permits, Halvo is not liable for indirect or consequential loss, loss caused by your failure to keep your account secure, or loss arising from information or instructions you provide. We do not exclude liability for fraud, wilful misconduct, gross negligence, or any other liability that may not legally be excluded or limited.
10. Changes to these Terms
We may update these Terms to reflect changes to the Services or legal requirements. We will publish the updated version here and update the date above. If a change materially affects your rights or a paid subscription, we will give reasonable notice where required by law. Continued use after the effective date means the updated Terms apply, subject to any rights you have under applicable law.
11. Governing law and contact
These Terms are governed by the laws of the Republic of South Africa, subject to any mandatory consumer protections that apply to you. Please contact us first if you have a concern or dispute so that we can try to resolve it.
